FMR LLC is pleased to provide you with the products, services, content, tools, and information on all Fidelity Sites (the term “Fidelity Sites” refers to all Fidelity websites as well as to the content on them). Your use of Fidelity Sites is subject to the following Terms of Use (“Terms”).

These Terms are a binding contract between you and the Fidelity entities listed below, as well as their affiliates (“Fidelity”). By using or accessing the Fidelity Sites, you accept and agree to be bound by these Terms. Your use of Fidelity Sites is governed by the version of the Terms in effect on the date each Fidelity Site is accessed by you. Fidelity may modify these Terms at any time and without prior notice. You should review the most current version of this document by visiting the Fidelity Sites, including but not limited to, the institutional.fidelity.com website, and clicking on the “Terms of Use” hyperlink located at the bottom of the page. These Terms are in addition to any other agreements between you and Fidelity, including any customer or account agreements, and any other agreements that govern your use of products, services, content, tools, and information available on the Fidelity Sites.

Use of Fidelity Sites

The Fidelity Sites are intended only for your personal, non-commercial use, unless you and Fidelity have agreed otherwise in writing.

Fidelity Investments’ companies

The following is a list of the primary Fidelity entities that make available products and services on institutional.fidelity.com. The products referred to on the institutional.fidelity.com web pages, presented by Fidelity Distributors Company LLC, are generally available only through an intermediary.

FMR LLC is the parent company of various Fidelity entities. Some of these entities are financial services companies that may be registered under federal or state laws.

Registered Investment Products (including mutual funds, Treasury management products, and ETFs) and collective investment trusts managed by Fidelity Management Trust Company (FMTC) are offered by Fidelity Distributors Company LLC (FDC), a registered broker-dealer. Fidelity Institutional Asset Management (FIAM) investment management services, including the FIAM strategies, are managed by the Fidelity Investments companies of FIAM LLC, a U.S. registered investment adviser, or Fidelity Institutional Asset Management Trust Company, a New Hampshire trust company (FIAM TC). FIAM products and services may be presented by FDC, or Fidelity Brokerage Services, LLC, Member NYSE, SIPC, both non-exclusive financial intermediaries that are affiliated with FIAM and compensated for such services.

Fidelity Institutional Asset Management® (“FIAM”)

Fidelity Institutional Asset Management (FIAM) includes the following entities that provide investment services: Fidelity Institutional Asset Management Trust Company, a New Hampshire trust company (FIAM TC) and FIAM LLC, a U.S. registered investment adviser. Fidelity Asset Management Solutions (FAMS) provides a broad array of investment solutions with its Global Institutional Solutions (GIS), Global Asset Allocation (GAA), and institutional equity, fixed income, high income, and alternative asset management teams through FIAM LLC, Fidelity Institutional Asset Management Trust Company and Fidelity Diversifying Solutions LLC.

FIAM claims compliance with the Global Investment Performance Standards (GIPS®) as part of the Fidelity Investments firm.

Fidelity Investments

"Fidelity Investments" and/or "Fidelity" refers collectively to FMR LLC, a U.S. company, and its subsidiaries, including but not limited to Fidelity Management & Research Company LLC (FMR), FIAM LLC and FIAM TC.

Fidelity Management Trust Company

Fidelity Management Trust Company (FMTC), a Fidelity Investments company, is a Massachusetts limited purpose trust company managing Fidelity commingled pools that are separate funds of the Fidelity Group Trust for Employee Benefit Plans. The commingled pools are not mutual funds and are only available to certain eligible investors.

FMTC claims compliance with the Global Investment Performance Standards (GIPS®) as part of the Fidelity Investments firm.

Fidelity Institutional Wealth Adviser LLC ("FIWA") is a registered investment adviser and an indirect, wholly owned subsidiary of FMR LLC. FIWA makes the Fidelity Managed Account Xchange® program, an advisory platform, available exclusively for use by FIWA clients to help service their end customers.

Mutual funds and variable annuities

Fidelity Model Portfolios

Fidelity Model Portfolios are made available to financial intermediaries on a non-discretionary basis by Fidelity Distributors Company LLC.

Workplace savings plans

Some of the funds and services described on the Fidelity Sites may not be available or appropriate in a workplace savings plan. Individual employers can provide information on any investment restrictions associated with their 401(k), 401(a), 403(b), or 457 savings plans, or nonqualified deferred compensation plans at work. Or, if an employer’s workplace savings plan is already with Fidelity, information on investment options is available by calling the toll-free retirement benefits line or by logging on to Fidelity NetBenefits®.

529 College Savings Plan

The Fidelity Advisor 529 Plan is offered by the state of New Hampshire and managed by Fidelity Investments. If you or the designated beneficiary is not a New Hampshire resident, you may want to consider, before investing, whether your state or the designated beneficiary's home state offers its residents a plan with alternate state tax advantages or other state benefits, such as financial aid, scholarship funds, and protection from creditors.

Units of the College Savings Plan Portfolios are municipal securities and may be subject to market volatility and fluctuation.

Institutional Investor

The Institutional Investor and Consultant views on institutional.fidelity.com are intended for institutional investors. For purposes of the Institutional Investor and Consultant views, the term “Institutional Investor” includes, but is not limited to, sophisticated non-retail investors such as investment companies, investment advisors, plan sponsors, endowments, foundations, governmental entities, and high net worth natural persons. Certain products and investment services may only be offered to Institutional Investors who are also accredited investors, qualified purchasers, and/or qualified institutional buyers as defined by the U.S. federal securities laws.

Information for foreign investors

The Fidelity Sites are intended to be made available only to persons in the United States, and the information on this website is only for such persons. Timeliness of content

Means of access

The Fidelity Sites are generally intended to be viewed by a conventional Web browser with a screen resolution of 1024 by 768 pixels or greater. Although you may use other means to access the Fidelity Sites, be aware that the Fidelity Sites may not appear accurately through other access methods, and you use them only at your own risk.

You should not access the Fidelity Sites through devices or services that are designed to provide high-speed, automated, repeated access, unless such devices are approved or made available by Fidelity.

Certain parts of the Fidelity Sites are protected by passwords or require log-in. You may not obtain or attempt to obtain unauthorized access to such parts of the Fidelity Sites, or to any other protected materials or information, through any means not intentionally made available by Fidelity for your specific use.

Password security and notification

If you have a Personal Identification Number (PIN) for access to nonpublic areas of the Fidelity Sites, you are solely responsible for all activities that occur in connection with your PIN. Accordingly, you should not disclose your PIN to anyone else. Notify Fidelity immediately if you become aware of any disclosure, loss, theft, or unauthorized use of your PIN.

Indemnification

Changes to Fidelity Sites

Unless otherwise agreed, Fidelity may discontinue or modify the Fidelity Sites at any time without prior notice to you, and you accept those modifications if you continue to use the Fidelity Sites.

Termination

Fidelity may terminate your access to the Fidelity Sites for any reason, without prior notice.

Governing law and forum

Unless otherwise agreed, these Terms and their enforcement are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law, and shall inure to the benefit of Fidelity’s successors and assigns, whether by merger, consolidation, or otherwise. This provision may not apply to participants in certain employer-sponsored workplace savings plans.

Severability

If a court of competent jurisdiction deems any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
